Purpose

The role of a Board Director for Lifeline Loddon Mallee Limited (LLM) is to contribute to the deliberations of the Board in the provision of governance, compliance, risk management, and financial sustainability of the service and the EO’s recruitment and performance monitoring.

Board Responsibilities

On behalf of key stakeholders, especially the Members and help seekers, the Board is responsible for the stewardship and future well-being of LLM. The Board bears ultimate responsibility for LLM achieving the purposes for which it exists. In providing leadership and strategic governance, the Board must:

  • establish the organisation’s purpose, values, goals and objectives;

  • identify and monitor the management of corporate risks;

  • establish, monitor and review the strategic direction for LLM.

  • monitor LLM’s performance against policies and other criteria set by the Board;

  • ensure there are adequate resources to realise LLM’s purpose, values, goals and objectives;

  • ensure the maintenance of LLM’s position as a NFP entity and registered charity with deductible gift recipient status;

  • recruit and support the Executive Officer;

  • determine the terms of employment and remuneration of the Executive Officer and Senior Management Team;

  • ensure LLM’s compliance with applicable laws and regulations, including ensuring its ability to meet its debts as they fall due;

  • ensure there are mechanisms for consultation with key stakeholders, and continuing accountability to them;

  • commit to the values of LLM.

Time Commitment

  • Attendance at (6) Board meetings, held every two months (2.5 hrs), plus preparatory reading.

  • Membership and attendance of at least one subcommittee, which meets once every two months (off month to Board) for 1 hour.

  • Sunraysia based Director/s would be expected to be a member of the Sunraysia Lifeline Committee.

  • Attendance at annual Strategic Planning Day - generally held on a weekend in Bendigo.

  • A general rule of thumb is that a Director should be able to commit 4 hours per month to their NFP Board.

Specific Experience, Skills & Knowledge Sought

  • Non-executive director or management level experience within government, public, private or community agencies

  • Experience in community engagement and connection.

  • Strong strategic, governance and financial literacy.

  • A sound understanding of Governance and Risk Management principles.

  • Be willing to support the on the ground efforts in Mildura.

  • Being a Graduate of the AICD will be well regarded.

NOTE: You must have a Director Identification Number (or be willing to obtain one) to join the Board and you must become a Member of Lifeline Loddon Mallee Ltd.
